Plaza Resorts – Special Members Meeting Summary

Plaza Resorts held a Special Meeting (the “Meeting”) of the Plaza Resort Club Association (the "Association") on January 9, 2026, with a quorum of Board members present. The purpose of the meeting was to consider and vote on a proposal to terminate the Plaza Resorts timeshare program and authorize the sale of the property in accordance with governing documents and applicable law.

Lemonjuice Solutions presented the termination proposal, outlining that the timeshare regime would be dissolved while preserving each owner’s pro rata interest in the net proceeds from the eventual sale of the property. Extensive legal and title due diligence has been completed to ensure the property can be conveyed with clean, marketable title. Upon approval, the property will be sold through a professionally marketed national auction, with an anticipated timeline of approximately 90 days.

Proxy voting results demonstrated strong support of termination. Of 4,016 eligible ownership intervals, approximately 88% voted in favor of termination, exceeding the required 80% approval threshold. The Declarant Interest also voted in favor.

Following discussion and an owner forum, the Board formally adopted the Declaration of Termination. The motion to terminate the timeshare program and authorize the sale of the property passed.

The meeting was adjourned after completion of all agenda items.
